Service Agreement

1. Agreement and electronic acceptance

This Service Agreement governs the monthly services purchased from SyeSystems. The client accepts it by checking the agreement box and completing payment, signing electronically, or otherwise expressly accepting it. The checkout record, accepted offer, onboarding information, referenced policies, and this agreement together form the contract between the client and Sye Editing Services LLC.

2. Standard services

• Managed Meta advertising campaign setup and ongoing standard management.
• A conversion-focused contractor website using the standard SyeSystems framework.
• AI-assisted initial lead response, basic qualification, and appointment-booking setup.
• Occasional automated review-request setup.
• Google Business Profile setup or optimization where eligible and authorized.
• Standard website hosting and management while the subscription remains active.
• Import of a reasonably formatted existing lead list if it exists.
• Access to the standard CRM dashboard.

Custom development, extra brands or locations, major data cleanup, premium integrations, advanced creative production, and services not listed above require separate written approval and may cost extra.

3. Fees, billing, and separate costs

The client will pay $497 per month for the accepted standard offer. The subscription renews automatically each month until canceled. There is no setup fee for the standard offer. Advertising spend, phone, SMS and email usage, domain purchases, premium software, and other third-party costs are separate unless expressly included in writing.

4. Client responsibilities

• Provide accurate business details, assets, account access, service information, offers, service areas, and approvals promptly.
• Maintain lawful licenses, insurance, claims, pricing, and business practices.
• Fund advertising and third-party usage costs.
• Respond to qualified prospects and appointments in a timely manner.
• Review materials, provide approvals, and report errors promptly.
• Use customer data and communications lawfully and obtain required consent.

5. Initial setup target

The standard target is to complete the agreed initial setup within seven business days after SyeSystems receives all required information, assets, access, approvals, payment, and third-party cooperation. This is a delivery target, not a promise that advertising or other systems will produce results within seven days.

6. Complete-delivery guarantee

If a delay caused solely by SyeSystems prevents completion of the agreed initial setup within the period above, the client’s next monthly SyeSystems service fee will be waived. This is the exclusive remedy under this guarantee.

The guarantee does not cover lead volume or quality, appointments, customers, sales, rankings, reviews, revenue, platform approvals, third-party outages, or client-caused delays.

7. No performance guarantee

SyeSystems does not guarantee a specific number of impressions, clicks, leads, calls, appointments, customers, reviews, rankings, sales, profit, or revenue. Results depend on the client’s market, offer, reputation, pricing, budget, competition, response time, sales process, platform policies, and customer demand.

8. Accounts, content, and ownership

The client retains ownership of its preexisting trademarks, logos, content, advertising accounts, customer information, and approved domain. Sye Editing Services LLC retains ownership of its preexisting systems, templates, methods, software configurations, internal workflows, and reusable materials.

Subject to full payment and third-party restrictions, the client may use final custom content created specifically for its business. Standard templates, hosting, software access, automations, and licensed components may stop working or be removed after cancellation.

9. Advertising and third-party platforms

Meta, Google, Stripe, HighLevel, hosting companies, domain providers, carriers, and other platforms control their own approvals, suspensions, policies, pricing, and availability. SyeSystems is not responsible for their decisions, outages, or policy enforcement.

10. Term, cancellation, and suspension

This agreement begins when accepted and continues month-to-month. Either party may cancel by written notice to support@syesystems.io. To avoid the next renewal, the client must provide at least seven days’ notice before the billing date. Cancellation becomes effective at the end of the current paid billing period.

SyeSystems may suspend services for nonpayment, unlawful or deceptive activity, platform-policy violations, security risks, abuse, failure to cooperate, or material breach.

11. Confidentiality and data

Each party will use reasonable care to protect nonpublic business information received from the other. SyeSystems may process client and lead data as necessary to provide the services and as described in the Privacy Policy.

12. Indemnification

To the extent permitted by law, the client will defend and indemnify Sye Editing Services LLC from third-party claims arising from the client’s services, claims, instructions, supplied content, unlawful communications, lack of consent, licensing failures, or breach of this agreement.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, special, incidental, exemplary, punitive, consequential, or lost-profit damages. Sye Editing Services LLC’s aggregate liability arising from this agreement will not exceed the SyeSystems service fees paid during the three months immediately before the event giving rise to the claim.

14. General terms

• Independent contractors: The parties are independent contractors, not partners, employees, or joint venturers.
• Assignment: Neither party may assign this agreement without consent, except in connection with a lawful business reorganization or sale.
• Force majeure: Neither party is liable for delay caused by events beyond reasonable control.
• Entire agreement: This agreement, the accepted checkout offer, onboarding information, and referenced policies replace prior discussions about the same services.
• Severability: If one provision is unenforceable, the remaining provisions continue.
• Electronic records: Electronic acceptance, payment records, timestamps, and digital communications may be used as evidence of agreement.

15. Governing law and venue

This agreement is governed by the laws of the State of New Mexico, without regard to conflict-of-law principles. The parties will first attempt in good faith to resolve disputes informally. Any unresolved court proceeding must be brought in a state or federal court with jurisdiction in Bernalillo County, New Mexico, unless applicable law requires otherwise.
